This Memorandum of Agreement is between Pueblo de Oro Development Corporation, Nagkahi-usang Mag-uuma sa Taba-ao Association, and ICCP Group Foundation Inc. MEMORANDUM OF AGREEMENT

This Memorandum of Agreement is made and entered into by:

PUEBLO DE ORO DEVELOPMENT CORPORATION, a corporation duly


organized and existing under and by virtue of the laws of the Republic of the
Philippines, with official address at 17th Floor, Robinsons Summit Center, Ayala Avenue,
Makati City, represented herein by its Vice-President & General Manager, Visayas
Operations, Ronald Allan A. Uy hereinafter referred to as “PODC”;

-and-

Nagkahi-usang Mag-uuma sa Taba-ao Association (NAGMATA) (United


Farmers of Taba-ao), a local people’s organization duly organized, recognized by DENR
region VII and existing under the laws of the Republic of the Philippines, with official
address at Barangay Taba-ao, Municipality of Tabogon, Province of Cebu, represented
herein by its President, Mr. Isidoro C. Monleon, hereinafter referred to as “NAGMATA”;

-and-

ICCP GROUP FOUNDATION INC. (IGFI), a non-stock, non-profit organization


duly organized and existing under Philippine law, represented by its IGFI-Cebu CSR
Officer Eduard A. Bucad Jr. hereinafter referred to as “IGFI”;

WITNESSETH

WHEREAS, PODC is a leading project developer with township and residential


projects in Cagayan de Oro, Cebu, Pampanga and Batangas;

WHEREAS, PODC shall comply with the Environmental Compliance Certificate


(ECC) requirement of the Department of Environment and Natural Resources
Environmental Management Bureau (DENR/EMB) for PODC Lapu – Lapu City
residential project in Brgy. Babag.

WHEREAS, PODC shall procure 2,307 endemic/indigenous species seedlings


where 2,307 will be planted at Barangay Taba-ao, Municipality of Tabogon, Province of
Cebu.

WHEREAS, NAGMATA is a local people’s organization that provide assistance


in planting endemic/indigenous species seedlings;

WHEREAS, IGFI shall ensure the 2,307 endemic/indigenous species seedling


planting and growing project will be implemented and monitor properly.

WHEREAS, the project implementation will be based on this Agreement defining


specific areas of cooperation and commitments including manpower and other
resources needed;

NOW, THEREFORE, for and in consideration of the foregoing premises and the
mutual covenant hereafter set forth, the parties have agreed and hereby agree, as
follows:
ARTICLE I
SCOPE OF AGREEMENT

This Agreement shall cover the project entitled Tree planting and
growing, Environmental Awareness Project. The project’s main initiative is to
procure 2,307 endemic/indigenous species seedling where 2,307 will be planted
at Barangay Taba-ao, Municipality of Tabogon, Province of Cebu.

SECTION 1. PODC shall:

1.1 Donate 2,307 endemic/indigenous species seedling thru its social


developmental arm, the IGFI. to NAGMATA;

SECTION 2. NAGMATA shall:

2.1 Acknowledge receipt and accept the donation from PODC for 2,307
endemic/indigenous species of Tree for planting and growing project;

2.2 Provide an area of 4.3 hectare to plant the endemic/indigenous species of


Tree, care and monitor the progress of the project and replace the dying
endemic/indigenous species of tree for one (1) year;

2.4 Plant 2,307 endemic/indigenous species seedling on the month of ___ 2023.

2.5 Acknowledge PODC as donor of the grant upon the implementation and
administration of the Project.

2.6 Utilize the amount as agreed upon by all parties and as stated in the
approved budget breakdown (Annex A);

SECTION 3. IGFI shall:

3.1 We coordinate with the PDOC and NAGMATA to ensure the implementation
of the project successful.

ARTICLE II
EFFECTIVITY

This Agreement shall take effect upon signing hereof and shall remain in full
force and effect for the duration of the Project until actual completion, which is
estimated to take one (1) year to complete, unless pre-terminated, with or without
cause, by any party by giving a written notice to the other contracting parties at least
thirty (30) calendar days prior to the intended date of termination.

In the event any of the parties is in breach of any terms or conditions of this
Agreement, all parties shall endeavor to resolve all disputes arising from or resulting
from this Agreement in an amicable manner. All disputes, controversies, and claims
arising out of, or relating to this Agreement that cannot be settled amicably by
negotiation between the parties within thirty (30) days from the commencement of
negotiations shall be settled by arbitration through the Philippine Dispute Resolution
Center, Inc. This Agreement shall be interpreted, construed in accordance with, and
governed by Philippine law.

IN WITNESS HEREOF, the parties have hereunto affixed their signatures on this
